摘要	本文通过甘肃电投成功借壳上市案例的分析，认为借壳双方及其管理层、被借壳方的控股股东以及地方政府是本案例中的关键利益相关者，被借壳方的中小股东及债权人是本案例中的重要利益相关者。通过分析关键利益相关者和重要利益相关者的利益需求及其在借壳上市方案及实施过程中的满足情况，总结该案例成功的原因主要是在借壳上市方案及其实施过程中充分考虑了各利益相关者的利益需求并通过平衡协调以使其尽可能满足，达到多方共赢的结果。
其他摘要	This thesis analyzes the successful case of GEPIC' back door's listing getting the results that the companies involved in the reorganization,their managers,be backdoor company's controlling shareholders and local government are the key stakeholders,and the minority shareholders and creditor of be backdoor company are the important stakeholders.After analyzing the interests demand and its satisfaction in the back door listing between the key stakeholders and the important stakeholders,the author get the conclusion that the main reason of this case's success is that the back door listing scheme gives a full consideration and satisfies respective interests of the stakeholders,and achieves a multi-win-win situation.
